Welcome to Synclead! These Terms of Service (“Terms”) govern your access and use of the Synclead platform, including our scheduling and email productivity tools, accessible through www.synclead.io (the “Platform”). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the Platform.

1. Services Provided
Synclead offers two key services:

Scheduling: A comprehensive scheduling tool aimed at simplifying appointment bookings and reducing the hassle of back-and-forth communication.
Email Productivity: Integrated tools to enhance email management, streamline workflows, and improve communication efficiency (competing with Mixmax).
These services are provided in phases, starting with scheduling features before expanding into email enhancements.

2. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use Synclead. By using the Platform, you represent and warrant that you meet these requirements. This eligibility aligns with third-party payment providers’ terms, such as Stripe, which requires users to be at least 18.

3. Account Registration
To access certain features, you may be required to register an account. You agree to provide accurate, current, and complete information during the registration process and to update such information if it changes. You are responsible for safeguarding your login credentials and for all activities under your account.

4. Acceptable Use
You agree to use Synclead in compliance with these Terms and applicable laws and regulations. You may not:

Misuse our Platform by engaging in illegal or unauthorized activities.
Copy, modify, or distribute content from Synclead without proper authorization.
Use the Platform to send spam or unsolicited communications.
Engage in any activities prohibited by third-party services that Synclead relies on, including Stripe’s restricted businesses policy, which prohibits processing payments for illegal goods or services.

5. User Data and Privacy
Your use of Synclead is subject to our Privacy Policy, which governs how we collect, use, and protect your data. By using the Platform, you agree to Synclead’s handling of your personal information as described in our Privacy Policy.

6. Payment and Subscription
Certain features of Synclead may be available only through a paid subscription. The pricing, billing, and payment terms are available on our pricing page, and any changes to these will be communicated in advance. All payments are processed securely through third-party services, such as Stripe. By using Synclead’s payment services, you agree to comply with the terms and conditions of these third-party providers.

7. Cancellation and Refund Policy
You can cancel your subscription at any time through your account settings. Refunds, if applicable, are subject to our Refund Policy. In general, refunds are not available for completed billing cycles. Refunds may be issued at Synclead’s discretion under special circumstances, such as service failures or billing errors. 8. Intellectual Property
All content, trademarks, logos, and designs related to Synclead are the intellectual property of Synclead or our licensors. You may not use any of our trademarks without prior written consent.

9. Third-Party Integrations
Synclead may integrate with third-party services (e.g., Google Calendar, Microsoft Outlook). By using these integrations, you agree to the terms and conditions of these third-party services.

10. Disclaimer of Warranties
The Platform is provided “as is” and “as available.” Synclead disclaims all warranties, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be available without interruption or error-free.

11. Limitation of Liability
To the fullest extent permitted by law, Synclead shall not be liable for any indirect, incidental, special, or consequential damages arising out of your use of the Platform, even if we have been advised of the possibility of such damages.

12. Indemnification
You agree to indemnify and hold harmless Synclead, its affiliates, employees, and agents from any claims, liabilities, damages, or expenses arising from your violation of these Terms or misuse of the Platform. You also agree to indemnify Synclead against any claims arising from your use of third-party services, including but not limited to payment processing services provided by Stripe.

13. Changes to the Terms
Synclead reserves the right to modify or update these Terms at any time. Any changes will be posted on the Platform, and your continued use of Synclead after the changes have been made will constitute your acceptance of the updated Terms.

14. Termination
We may suspend or terminate your access to Synclead at any time without notice if you violate these Terms or engage in behavior that we deem harmful to our Platform or users.

15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England.
